These Terms of Use govern your access to and use of the services, platform, and content provided by toumit ("we," "us," or "our") through toumit.com and any related applications or tools. By accessing or using our services, you agree to be bound by these terms. If you do not agree, you must not use our services.
1. Acceptance of Terms
By creating an account, placing an order, or otherwise accessing our platform, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms of Use in full. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Services
toumit provides online professional services focused on social media video preparation, including but not limited to video editing, formatting, captioning, optimization, and delivery for various social media platforms. Services are delivered remotely on an individual basis, tailored to each client's specific goals and requirements.
We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice where practicable.
3. Account Registration and Security
3.1 Account Creation
Certain features of our platform require you to register an account. You agree to provide accurate, current, and complete information during registration and to keep that information updated. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibility
You are solely responsible for all activity that occurs under your account. You must notify us immediately at support@toumit.com if you suspect unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized account use where you have failed to maintain credential security.
3.3 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions, obtain duplicate benefits, or misrepresent identity is prohibited.
4. Use of the Platform
4.1 Permitted Use
You may use our services solely for lawful purposes and in accordance with these terms. You agree to use the platform in good faith and only for the purposes for which it is intended.
4.2 Prohibited Conduct
You must not:
- Use the platform for any unlawful, fraudulent, or deceptive purpose
- Upload, transmit, or share content that infringes any third-party intellectual property, privacy, or other rights
- Upload content that is defamatory, obscene, harmful, threatening, or otherwise objectionable
- Attempt to gain unauthorized access to any part of our systems, servers, or databases
- Introduce viruses, malware, or any other harmful code
- Reverse engineer, decompile, or disassemble any part of our platform
- Use automated scripts, bots, or scrapers to interact with the platform without prior written consent
- Resell, sublicense, or commercially exploit our services without authorization
- Impersonate any person, entity, or brand
- Interfere with or disrupt the integrity or performance of the platform or its users
5. Client Content and Submissions
5.1 Ownership of Your Content
You retain all ownership rights to the raw materials, footage, files, and other content you submit to us for processing ("Client Content"). By submitting Client Content, you grant us a limited, non-exclusive, royalty-free license to access, use, and process that content solely for the purpose of delivering the requested services.
5.2 Content Warranties
You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit your Client Content and that its use by us in delivering services will not infringe any third-party rights or violate any applicable law.
5.3 Content Responsibility
We are not responsible for the accuracy, legality, or appropriateness of any Client Content. We reserve the right to refuse to process content that we reasonably believe violates these terms or applicable law.
6. Deliverables and Intellectual Property
6.1 Deliverable Ownership
Upon full receipt of payment, ownership of the final deliverables produced from your Client Content transfers to you, subject to any third-party assets (such as licensed music, stock footage, or fonts) included at your request, which remain subject to their respective license terms.
6.2 Our Intellectual Property
All platform technology, interfaces, methodologies, templates, workflows, branding, and proprietary tools used in delivering services remain the exclusive property of toumit. Nothing in these terms transfers any rights in our intellectual property to you.
6.3 Portfolio Use
Unless you explicitly request otherwise in writing before project commencement, we may use anonymized or credited examples of completed work in our portfolio and marketing materials.
7. Orders, Payments, and Refunds
7.1 Orders
An order is confirmed when you receive written confirmation from us and the applicable payment has been received or a payment arrangement has been agreed upon. We reserve the right to decline any order at our discretion.
7.2 Pricing
All prices are stated at the time of order and are subject to change for future orders. Applicable taxes or fees may be added depending on your location and the nature of the service.
7.3 Payment
Payment is due in accordance with the terms specified at the time of order. Failure to make timely payment may result in suspension of service delivery or cancellation of your order.
7.4 Refunds and Cancellations
Refund and cancellation terms are specified in our service agreements or order confirmations. Generally, refunds may be available where work has not yet commenced. Once production has begun, refunds are assessed on a case-by-case basis relative to work completed. We are not obligated to issue refunds for dissatisfaction arising from subjective preferences where the deliverable meets the agreed brief.
8. Confidentiality
We treat all Client Content and project details with strict confidentiality. We do not share your materials, project information, or personal data with third parties except as necessary to deliver the services or as required by law. Our full data practices are described in our Privacy Policy.
9. Turnaround Times and Delivery
Estimated delivery timelines are provided in good faith and are not guaranteed unless expressly stated as a binding deadline in a written agreement. Delays caused by incomplete briefs, late asset delivery, or factors outside our control do not constitute a breach of these terms. We will communicate any material delays promptly.
10. Revisions and Feedback
The number of revision rounds included in a service engagement is specified at the time of order. Revisions must align with the original brief. Requests that constitute a change of scope may be subject to additional charges. Feedback must be provided within the timeframe specified in your order confirmation; failure to do so may affect delivery timelines without liability to us.
11. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our platform will be uninterrupted, error-free, or free of harmful components.
We make no guarantee regarding specific outcomes, reach, engagement, or performance of any content produced through our services on any social media platform, as such results depend on factors entirely outside our control.
12. Limitation of Liability
To the maximum extent permitted by applicable law, toumit and its team members shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under or in connection with these terms shall not exceed the total amount paid by you to us in the three months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless toumit and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our services, your Client Content, your breach of these terms, or your violation of any third-party rights.
14. Third-Party Services and Links
Our platform may reference or integrate with third-party services, platforms, or tools. We are not responsible for the content, availability, or practices of any third-party service. Your use of third-party services is governed by their respective terms and policies.
15. Modifications to These Terms
We may update these Terms of Use from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you through the platform or via email. Your continued use of our services after any modification constitutes acceptance of the updated terms. If you do not agree with the revised terms, you must discontinue use of our services.
16. Suspension and Termination
16.1 Termination by You
You may stop using our services at any time. Termination of an active service engagement is subject to the cancellation terms outlined in Section 7.4.
16.2 Termination by Us
We may suspend or terminate your access to our platform or services immediately and without prior notice if you breach these terms, engage in fraudulent or harmful conduct, or if we are required to do so by law. Upon termination, all licenses granted to you cease immediately.
16.3 Survival
Sections relating to intellectual property, confidentiality, limitation of liability, indemnification, and any accrued payment obligations survive termination of these terms.
17. Governing Principles
These terms are intended to be interpreted in a fair and balanced manner consistent with international commercial practice. Any dispute arising in connection with these terms that cannot be resolved amicably shall be subject to resolution through good-faith negotiation as a first step, followed by binding arbitration or the dispute resolution mechanism agreed upon in writing between the parties.
18. Severability
If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
19. Entire Agreement
These Terms of Use, together with our Privacy Policy and any written service agreements or order confirmations, constitute the entire agreement between you and toumit regarding your use of our services and supersede all prior understandings, representations, or agreements relating to the same subject matter.
